LLC «APICORE», hereinafter referred to as the "Provider", represented by Denisov Vladimir Vladimirovich, acting on the basis of the Charter, hereby addresses this offer to any legal entity or individual entrepreneur, hereinafter referred to as the "Customer".
This document, in accordance with Articles 387-377 of the Civil Code of the Republic of Uzbekistan, paragraphs 8-7, 10, 12, 24-28, 29 of the Rules for the implementation of electronic commerce (Appendix No. 1 to the Resolution of the Cabinet of Ministers of the Republic of Uzbekistan No. 185 dated 02.09.2018) is a public offer (hereinafter referred to as the Agreement), the full and unconditional acceptance of the terms of which is considered to be the implementation by the Customer of conclusive actions - registration on the Provider's website or payment for the Provider's services.
1. Terms and Definitions
1.1. Service - the online service Apicore.uz, providing informational services for data distribution.
1.2. Distributor - a person with access to the functionality of the Service for managing product catalogs, prices, balances, and dealers.
1.3. Dealer - a person with access to the functionality of the Service to obtain information about products and place orders.
1.4. Personal account - the interface in the Service provided to the Customer for managing settings and access to the Service's services.
1.5. Tariff - the terms of access to the functionality of the Service defined in Appendix No. 1 to this Agreement.
1.6. API - application programming interface providing access to the functionality of the Service for automated interaction.
1.7. Distributor's Cabinet - an interface providing the Distributor with access to manage their data and access to their data for dealers.
1.8. Dealer's Cabinet - an interface providing the Dealer with access to information about products, prices from Distributors, the ability to place orders, and access data through the API.
2. Subject of the Agreement
2.2. The Customer accepts the terms of this Agreement by accepting the offer, which is confirmed by registration in the Service.
3. Obligations and Rights of the Parties 3.1. Obligations of the Provider:
3.1.1. Provide the Customer with access to the functionality of the Service in accordance with the selected tariff.
3.1.2. Provide technical and informational support to the Customer during working hours.
3.1.3. Provide access to documentation and updates on the functionality of the Service.
3.1.4. Ensure the operation of the Service within the functionality described in the tariff conditions.
3.1.5. Provide access to the API functionality and API documentation.
3.1.6. Notify the Customer of technical work and changes in the functionality of the Service on the official website of the Service and/or by Email.
3.2. Rights of the Provider:
3.2.1. Modify the functionality and interfaces of the Service, notifying the Customer on the official website of the Service and/or by Email.
3.2.2. Suspend access to the Service for technical work.
3.2.3. Disable the Customer's account in case of violation of the terms of use of the Service.
3.2.4. Delete the Customer's data in case of non-payment for services within 90 calendar days after the end of the previous paid period.
3.3. Customer's Obligations:
3.3.1. Use the Service in accordance with the terms of this Agreement and the terms of use posted on the official website of the Service.
3.3.2. Ensure the confidentiality of account data and access keys.
3.3.3. Timely pay for the services provided.
3.3.4. Be responsible for the accuracy and quality of the information transmitted through their account.
3.3.5. Not use the Service to distribute illegal, malicious, offensive, or other undesirable information.
4. Payment Procedure
4.1. Payment for services is made by the Customer by non-cash payment based on an invoice or through the internet acquiring system with a Visa and MasterCard payment card.
4.2. An invoice for payment is sent to the Customer's Email specified during registration in the Service.
4.3. Payment must be made within 10 calendar days from the date of invoicing.
4.4. In case of untimely payment, the Provider has the right to suspend the provision of services until the debt is repaid.
5. Liability of the Parties
5.1. Parties shall be liable for non-performance or improper performance of obligations under this Agreement in accordance with the legislation of the Republic of Kazakhstan.
5.2. The Provider shall not be liable for interruptions in the provision of services caused by technical failures or actions of third parties.
5.3. The Provider shall not be liable for losses incurred by the Customer due to the use or inability to use the Service.
6. Confidentiality
6.1. The Parties undertake to maintain the confidentiality of all information received from each other in the performance of this Agreement.
6.2. Obligations regarding confidentiality remain in force for 5 years after the termination of this Agreement.
7. Force Majeure
7.1. Parties shall be released from liability for partial or complete non-performance of obligations under this Agreement if it is a result of force majeure circumstances.
7.2. Force majeure circumstances include: fires, floods, earthquakes, military actions, acts of state authorities, as well as other circumstances beyond the reasonable control of the Parties.
8. Dispute Resolution Procedure
8.1. All disputes and disagreements arising in connection with the performance of this Agreement shall be resolved through negotiations.
8.2. In case of failure to reach an agreement, the dispute shall be resolved in court in accordance with the legislation of the Republic of Kazakhstan.
9. Term of Agreement and Termination
9.1. This Agreement shall enter into force upon its acceptance by the Customer and shall remain in effect until the complete fulfillment of obligations by the Parties.
9.2. The Provider reserves the right to make changes to the terms of the Agreement, notifying the Customer no less than 30 days before the changes take effect.
9.3. The Customer has the right to terminate this Agreement by notifying the Provider 30 days before the intended termination date.
9.4. The Provider has the right to terminate this Agreement in case of the Customer's violation of the Service usage terms.
10. Final Provisions
10.1. This Agreement is a public offer in accordance with Articles 387-377 of the Civil Code of the Republic of Uzbekistan, paragraphs 8-7, 10, 12, 24-28, 29 of the Rules for the implementation of electronic commerce (Appendix No. 1 to the Resolution of the Cabinet of Ministers of the Republic of Uzbekistan No. 185 dated 02.09.2018)
10.2. Customer registration in the Service and the use of the Service's functionality constitute acceptance of this offer.
